Ajica End User Licence Agreement
Last updated: 16 October 2026
Effective date: 16 October 2026 Agreement version: 3 Contact: [email protected]
Key licence terms
- Community features are free and have no time limit. The Pro trial runs in the macOS application, lasts 14 days from its first launch and does not require payment details. A Linux server build used on its own does not start a trial.
- A Pro licence is for one named individual and up to three activated installations shared across the supported Mac application and Linux server builds. The server embedded in the Mac application does not use an additional slot.
- A Pro purchase gives perpetual rights to covered versions and 365 days of update coverage. Optional renewal is a separate one-time purchase, not an automatically renewing subscription.
- Perpetual rights do not mean permanent offline access. Initial activation and periodic verification require access to licensing services. Saved verification lasts one calendar month in UTC. After it expires, Pro requires successful online verification even on a covered version.
- AI services and their charges are separate. Mandatory consumer rights and the rights granted by open-source licences remain applicable.
This summary is explained in the provisions below.
1. Parties, scope and acceptance
This Agreement is between you and Viacheslav Eniutin, an individual entrepreneur registered in the Republic of Armenia, State Registration Number 286.1596476, registered 16 July 2026, Taxpayer Identification Number 20344253, registered address 2 Nar-Dos St., Kentron, Yerevan 0018, Armenia (the “Licensor”, “we” or “us”). Contact: [email protected].
It governs the use of the officially distributed Ajica macOS application and compatible ajica-server Linux server builds included in the relevant offer (the “Software”), subject to the separate component licences in section 7.
If you accept on behalf of an organization, you represent that you have authority to bind it. “You” then refers to that organization, and each paid licence must be assigned to a named individual as described in section 4.
By affirmatively accepting this Agreement, or installing or using the Software after being given a reasonable opportunity to read it, you agree to its terms to the extent permitted by applicable law. If you do not agree, do not use the commercial components; contact the seller about any purchase and applicable remedies. This does not remove rights you independently hold under open-source licences.
2. Definitions
- Community features: functions available without a paid licence or active trial.
- Pro features: the paid functions of Ajica Pro: extended agent launch scenarios, advanced analytics, the flow editor and remote boards. This is the single list of Pro features; the Terms of Sale and other offer materials refer to it.
- Licence Key: the key or licence file issued for your purchased Pro licence.
- Trial: the 14-day period from the first launch of the macOS application during which Pro features are available without a Licence Key. During the Trial they also apply to the embedded server and to remote-board servers while the application is connected to them. A Linux server build used without the macOS application does not start a Trial.
- Update Period: paid coverage for releases, initially 365 days from the confirmed payment time in UTC. The Software identifies the coverage end as
updates_until. - Covered version: an officially released version included in your purchase whose release date is on or before the end of your applicable Update Period, including earlier releases.
- Verification: the online validation of an installation's licence and its saved, time-limited authorization to use Pro features, described in section 8.
3. Community use and trial
We grant you a non-exclusive right to install and use the officially distributed Software's Community features without charge or a time limit, subject to this Agreement where it applies to commercial components. The rights to separately licensed open-source components are governed by section 7.
During the Trial, which only the macOS application starts, you may also use Pro features without payment or a Licence Key, as described in section 2. When the Trial ends, continued Pro use requires a valid paid licence. The Trial does not automatically become a paid purchase or subscription.
After the Trial ends, Community features remain available. The end of the Trial does not itself delete your local projects or other local data. Functions that require Pro may no longer be available even where data created using those functions remain stored.
4. Paid licence and installations
Subject to this Agreement and payment, we grant you a perpetual, non-exclusive licence to use the Pro features of covered versions. The licence has no scheduled annual expiry. Expiry of the Update Period alone does not terminate it. Verification requirements, refunds and termination are addressed separately below.
- One named user. Each key is assigned to one individual. Organizations need a separate key for each Pro user; a key is not a floating or concurrent-user licence.
- Three installations in total. A key allows up to three activated installations shared across the macOS application and compatible officially distributed Linux server builds for x86_64 and ARM64, including remote-board servers. This is not three installations per platform. The embedded server in the Mac application consumes no additional slot. No separate Linux desktop GUI application is included.
- Moving installations. Deactivate an installation in the Software or Polar customer portal to release its slot before activating a replacement. Deactivation does not cancel the underlying purchase. Contact support if you cannot release an inaccessible installation.
- Organizational reassignment. If an organization bought a key for an employee or contractor, it may reassign the key to another named individual within that organization when the previous user leaves or changes role, after deactivating the previous user's installations. The users may not share the key for simultaneous use. This is an exception to the transfer restriction in section 6.
- Use for work. You may use the Software for personal work or the named user's work for an employer or clients. This does not authorize supplying the commercial Software itself as a hosted service to third parties or allowing multiple Pro users to share one key.
- No task counter. The licence imposes no separate limit on task or agent-run counts. This does not remove installation limits or include access to third-party AI services, their capacity or their charges.
5. Updates and optional renewal
- The initial Update Period lasts 365 days from confirmed payment in UTC. Covered versions include earlier releases as well as releases within that period.
- After coverage ends, you retain rights to covered versions and their Pro features, subject to this Agreement and section 8. A later release outside your coverage does not become covered merely because you download or install it. You may continue to use a covered version.
- Renewal is optional and a separate one-time purchase. It adds 365 days to the later of the current coverage end and the confirmed renewal payment time in UTC. Early renewal preserves unused coverage; late renewal does not charge retroactively for the elapsed gap.
- Renewal extends the same licence. It creates neither a new key nor additional installation slots. There is no automatic subscription or recurring renewal charge.
- Neither ordinary licence verification nor continuing to use a covered version requires purchase of an update renewal. Renewal is not a fee for renewing the saved verification in section 8.
- Paid update coverage does not promise a particular release frequency, new feature or indefinite compatibility with future operating systems or third-party services. It does not limit any obligation under applicable mandatory law to provide conformity remedies or necessary updates, including security updates.
6. Restrictions and permitted exceptions
For commercial components and rights granted under this Agreement, you may not:
- Publish, share, resell, rent, sublicense or transfer a Licence Key or its rights, except for organizational reassignment under section 4 or a transfer that applicable law permits despite this restriction.
- Redistribute commercial components, or offer them to third parties as a hosted service, without separate permission. This does not prohibit the named user's ordinary work for clients using the Software or delivery of that user's own work product.
- Bypass licensing controls or use Pro features beyond a valid Trial or paid entitlement. Using a release, tool or procedure that we provide or expressly authorize for this purpose is not a bypass.
- Remove applicable copyright, attribution or licence notices.
- Reverse engineer, decompile or disassemble commercial components except where applicable law permits it despite this restriction.
These restrictions do not override rights granted by a component's separate open-source licence or non-waivable statutory rights, including qualifying rights concerning backup copies, observation, testing or interoperability. They grant no general right to modify or redistribute proprietary source code.
7. Ownership and component licences
The Software is licensed, not sold, and ownership remains with the Licensor and the respective rights holders. This Agreement does not transfer ownership of your projects, code or other content to us. Rights in third-party material or agent output may depend on applicable law and the relevant providers' terms.
Components identified in the distribution as licensed under Apache License, Version 2.0 retain that licence. Other third-party components retain their respective licences. Those licences govern the relevant components and prevail over inconsistent restrictions in this Agreement for those components.
The applicable component boundaries and notices are identified in the distribution's LICENSE, NOTICE and LICENSE-COMMERCIAL.md materials. Access to proprietary source code does not itself grant permission to use, modify or redistribute it. A commercial binary licence does not relicense proprietary source code under Apache-2.0.
8. Activation, verification and privacy
Online and offline operation
Activation, verification refresh and deactivation contact our licensing service. Initial paid activation requires a working connection.
After successful verification, the installation may use its verified Pro rights offline until the saved verification expires. Its validity is one calendar month in UTC from verification, with the day clamped to the end of a shorter month. For example, verification on 31 January expires on the last day of February at the corresponding UTC time. This is separate from the 365-day Update Period.
An online check can apply revocation or changed entitlements before that saved period ends. A failed connection does not extend the saved period. After expiry, successful online verification is required for Pro, including on covered versions whose Update Period has ended. Community features remain available, and verification expiry does not itself delete local data. Features requiring Pro may become unavailable.
We do not promise indefinite operation of Pro without licensing services. A prolonged outage can prevent Pro use once saved verification expires. Contact support if a valid licence cannot be verified. This disclosure does not exclude remedies or obligations that mandatory law provides.
Data and choices
The Software stores project content locally or on infrastructure you choose. Connected agents and remote services may receive content when you use them, and we may receive content you choose to send to support.
Optional usage analytics require consent and can be turned off separately. Update checks and licensing requests are distinct network functions. Standalone server update requests include a random installation ID and software/platform information used for updates and installation measurement; they are not described as carrying no usage-related information.
The Privacy Policy explains processing, recipients, retention and privacy rights. Accepting this Agreement is not consent to optional analytics or marketing, and the Privacy Policy does not expand the licence restrictions in this Agreement.
9. Third-party agents and services
Ajica can launch or connect third-party agents using accounts and credentials you provide. Their access, pricing and processing are governed by their own terms. The Ajica licence does not include their fees or guarantee their continued availability or compatibility.
You are responsible for selecting appropriate permissions, reviewing agent actions and output, and maintaining backups suitable for your work. Agents may modify files, execute commands or send information to external providers according to their capabilities and permissions.
We do not control independent providers or guarantee their output. This does not exclude responsibility we may have under applicable law for our own Software or conduct.
10. Purchases and refunds
Polar acts as merchant of record and the seller in the purchase transaction. It handles payment, applicable taxes, invoices and refunds under its Buyer Terms, applicable law and payment-network rules. We grant the Software licence. The separate Polar contract does not replace our obligations as Licensor.
Prices and the purchase offer are described in the Terms of Sale. Refund requests and their handling are described in the Refund Policy. We do not offer a separate voluntary refund window through this Agreement. The Trial is not a waiver of statutory withdrawal, conformity or other mandatory consumer rights.
- A full refund of the original Pro purchase ends the corresponding paid rights. An installation may apply the change at its next check or expiry of saved verification; this is not a promise of immediate disabling while offline.
- A refund of only an update renewal removes coverage acquired through that renewal. Rights supported by the original purchase and other non-refunded purchases remain. A release covered solely through the refunded extension is no longer covered on that basis.
- A partial refund or a payment dispute is not described here as automatically cancelling every right under the licence. Any restriction must have a basis in the applicable terms, the transaction outcome and law. You retain applicable rights to dispute a payment.
Refunds and verification changes do not themselves delete your local data. Community features remain available subject to their applicable terms.
11. Suspension and termination
You may stop using the commercial Software at any time. Stopping use or deactivating an installation does not automatically entitle you to a refund or require renewal charges; there is no automatically renewing subscription.
We may terminate the commercial licence for a material breach. Where the breach can be remedied, we will first notify you of the breach and allow a reasonable opportunity to remedy it. Termination may take effect if it is not remedied within the period stated in that notice.
We may restrict affected paid access immediately where reasonably necessary to address fraud, unauthorized key sharing, a serious security threat or a binding legal requirement. Any restriction will be proportionate to its grounds. Where lawful and practicable, we will explain the reason and how to contact us to seek review. A temporary technical verification failure is governed by section 8 and does not by itself establish misconduct or terminate the underlying licence.
After valid termination, stop using the affected Pro rights. Termination does not itself erase local content or revoke rights independently granted under Apache-2.0 or other component licences. It does not remove accrued rights, applicable refund remedies or liabilities that lawfully survive termination.
12. Warranties and mandatory consumer remedies
Nothing in this Agreement excludes or limits non-waivable warranties, conformity obligations, remedies or other mandatory rights. Where applicable law gives you rights concerning defective or non-conforming digital content, those rights remain available independently of a discretionary refund policy.
Subject to those rights and any binding express commitments in the applicable offer, the Software is provided “as is”. To the maximum extent permitted by law, we disclaim other express or implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted or error-free operation or suitability for your particular project.
Expiry of paid update coverage does not by itself determine the duration of mandatory legal obligations. An “as is” clause does not remove obligations that cannot lawfully be excluded.
13. Limitation of liability
Nothing in this Agreement limits liability that cannot lawfully be excluded or limited. This includes liability for fraud, wilful misconduct, gross negligence, or death or personal injury caused by negligence to the extent applicable law prohibits the limitation, and mandatory consumer remedies.
Subject to that protection, and to the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special or consequential damages, or loss of data, profits or business.
Subject to the exceptions set out in this section, and to the maximum extent permitted by applicable law, our total aggregate liability for damages arising under this Agreement in connection with a paid licence does not exceed the total amount you paid for that licence and its update renewals before the event giving rise to liability, regardless of when those payments were made. This amount includes payments made through our merchant of record. If the same event affects more than one of your paid licences, the limit is calculated using the amounts paid for all affected licences.
This limit does not restrict any liability that cannot lawfully be limited, or any refund, price reduction, repair, replacement or other remedy to which you are entitled under mandatory law.
14. Governing law and disputes
This Agreement is governed by the laws of the Republic of Armenia. If you are a consumer, that choice does not deprive you of protection afforded by mandatory law that applies to you, including the mandatory consumer protections of your country of residence where applicable.
Nothing in this Agreement removes a right to bring a claim before a court available to you under mandatory law. We encourage you to contact [email protected] to seek a resolution, but doing so is not a condition for exercising non-waivable rights or meeting a legal deadline.
Disputes concerning the separate purchase contract with Polar are governed by the applicable Polar Buyer Terms. Their dispute provisions are not incorporated as dispute provisions between you and the Licensor merely by referring to them here.
15. Changes and relationship to other documents
- We may propose updated licence terms for future Software versions. The terms accompanying your installed version continue to govern it. Publishing a new EULA does not by itself retroactively reduce previously granted rights or require payment to continue using a covered version. Any acceptance required for a later version must occur through an appropriate process.
- This Agreement governs Software licence rights. The Terms of Sale describe the offer and purchase arrangements; the Refund Policy describes refund handling and entitlement effects; the Privacy Policy describes personal-data processing. Each applies to its stated subject. Mandatory law and separate component licences retain their priority for the matters they govern.
- The applicable purchase offer and any binding express commitments remain relevant. An entire-agreement or disclaimer clause does not remove mandatory rights arising from pre-contractual information or representations.
- If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. This does not authorize replacing an unfair term with a more favourable term for the Licensor where law prohibits doing so.
- This Agreement is drafted in English. If a translation differs, the English text prevails to the extent permitted by applicable law. This does not override mandatory language or consumer-protection requirements.
- Questions about the licence go to [email protected].
